Licensing Agreement

Welcome to MySoundHub! These Terms and Agreement (“Agreement”) govern your use of the track uploading services provided by MySoundHub. By uploading any track to our platform, you agree to comply with and be bound by the following terms:

1. Acceptance of Terms

By using the track uploading services, you agree to these Terms and Agreement, our Privacy Policy, and any other guidelines or rules applicable to our services. If you do not agree to these terms, you should not use our services.

2. Eligibility

You must be at least 18 years old or have the consent of a parent or guardian to use our track uploading services. By uploading tracks, you represent and warrant that you meet this eligibility requirement.

3. User Account

To upload tracks, you must create a user account and provide accurate, current, and complete information during the registration process. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Ownership and Rights

By uploading a track, you represent and warrant that:

• You are the original creator of the track or have obtained all necessary rights, licenses, and permissions to upload and share the track.
• The track does not infringe on any third-party rights, including but not limited to copyright, trademark, or privacy rights.
• The track cannot be copyrighted by other parties, meaning it must be original and free from any existing copyright claims.
• You retain ownership of the track and grant MySoundHub a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, display, and perform the track on our platform and related services.

5. Licensing

By uploading a track, you grant MySoundHub the following licenses:

• Broadcast License: The right to broadcast the track on our radio station.
• Distribution License: The right to distribute the track through our platform and affiliated services.
• Promotional License: The right to include the track in playlists and promotional materials.

These licenses are granted on a non-exclusive, worldwide, royalty-free basis and are revocable only by the removal of the track from our platform.

6. Content Guidelines

Tracks uploaded to MySoundHub must adhere to our content guidelines, including but not limited to:

• No offensive, defamatory, or obscene content.
• No content that promotes violence, hate, or illegal activities.
• No content that violates any applicable laws or regulations.

MySoundHub reserves the right to remove any track that violates these guidelines or for any other reason at our sole discretion.

7. Review and Approval

All tracks submitted to MySoundHub will undergo a review process to ensure they meet our quality standards. MySoundHub reserves the right to reject any track that does not meet these standards. Priority will be given to tracks uploaded by members with active subscriptions.

8. Usage and Distribution

By uploading a track, you grant MySoundHub the right to:

• Broadcast the track on our radio station.
• Include the track in playlists and promotional materials.
• Distribute the track through our platform and affiliated services.

9. Limitation of Liability

MySoundHub shall not be liable for any damages, including but not limited to direct, indirect, incidental, punitive, or consequential damages, arising out of or in connection with your use of our track uploading services.

10. Indemnification

You agree to indemnify, defend, and hold harmless MySoundHub and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses, including reasonable attorney’s fees, arising out of or in connection with your use of the track uploading services or any violation of this Agreement.

11. Modifications to Agreement

MySoundHub reserves the right to modify this Agreement at any time. Any changes will be effective immediately upon posting on our website. Your continued use of the track uploading services after any such changes constitutes your acceptance of the new terms.

12. Termination

MySoundHub may terminate your access to the track uploading services at any time, with or without cause, and without notice. Upon termination, your right to use the services will immediately cease.
